1. Basic Provisions

1.1

All deliveries, services, and offers provided by ProductKeys.store (hereinafter referred to as the “Seller”) are governed exclusively by these Terms and Conditions of Sale (“Terms”).

These Terms also apply to all future transactions between the Seller and the Customer, unless expressly modified in writing. Any conflicting or additional terms proposed by the Customer are expressly rejected and shall not apply unless accepted in writing by the Seller.

1.2

These Terms apply to both consumers (individuals purchasing for personal use) and business customers (entities or individuals purchasing for commercial purposes).

Unless otherwise specified, all provisions apply equally to both categories of customers.

1.3

No amendment, modification, or waiver of these Terms shall be valid unless made in writing and signed by an authorized representative of the Seller.

The final purchase confirmation issued by the Seller constitutes the full and binding sales contract between the parties.

1.4

The Seller reserves the right to make minor design or specification changes to products, provided that such changes do not materially affect product performance or intended use. Such modifications shall not constitute a breach of contract.

1.5

By placing an order through productkeys.store or any associated online platform, the Customer acknowledges having read, understood, and agreed to be bound by these Terms.

Clicking on “Place Order” or “I Agree” during checkout constitutes the Customer’s legally binding acceptance of these Terms under applicable U.S. law.

2. Formation of the Contract

2.1

The subject of this Agreement is the sale and electronic delivery of digital products, including software licenses, product keys, activation codes, or other digital content not supplied on a physical medium.

The presentation of products on the Seller’s website constitutes an invitation to submit a purchase order and does not represent a legally binding offer.

2.2

For software or digital content, the Seller provides access via secure download link or digital activation key.

Upon full payment, the Customer receives a non-exclusive, non-transferable, perpetual license to use the purchased product in accordance with these Terms and the applicable software vendor license.

2.3

The contract is concluded through the Seller’s online ordering system.

By clicking “Place Order” or an equivalent confirmation button, the Customer submits a binding purchase offer.

Acceptance occurs upon order confirmation or payment authorization by the Seller.

2.4

The Seller reserves the right to reject or cancel orders prior to acceptance, including but not limited to pricing errors, suspected fraud, or product unavailability. Any payments received will be refunded without undue delay.

2.5

All order confirmations, invoices, and digital deliveries are provided electronically via email.

By placing an order, the Customer consents to electronic communications in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

3. Refund and Cancellation Policy

3.1 Digital Products

Due to the nature of digital products, all sales are final once the product key or download link has been delivered.

Refunds or cancellations are not available unless required by law or where a product is proven defective or inaccessible.

3.2 Defective Products

Customers experiencing activation or access issues must contact support within seven (7) days of purchase.

After verification, the Seller may restore access, replace the product, or issue a refund at its discretion.

3.3 Refund Processing

Approved refunds are issued to the original payment method and typically processed within 5–10 business days.

3.4

The Seller’s full Refund Policy forms an integral part of these Terms.

4. Prices and Payment Terms

4.1

All prices are listed in U.S. Dollars (USD) and include applicable taxes unless otherwise stated.

4.2

For international customers, additional bank fees, conversion charges, or taxes may apply and remain the Customer’s responsibility.

4.3

Accepted payment methods are displayed on the website and may include credit/debit cards, PayPal, and other secure payment services.

4.4

PayPal transactions are governed by PayPal’s U.S. User Agreement.

5. Delivery and Digital Access

5.1

All products are delivered electronically via email or secure download.

5.2

Delivery is considered complete once the product key or download link has been sent to the Customer.

5.3

Customers are responsible for ensuring the accuracy of their email address and safeguarding their digital products.

5.4

The Seller is not responsible for delivery failures caused by incorrect email addresses, spam filters, or customer-side technical issues.

6. Ownership and License Rights

6.1

All digital products remain the intellectual property of the Seller or its licensors.

The Customer receives only a license to use the software, not ownership.

6.2

Rights of use are granted only after full payment.

6.3

Unauthorized copying, resale, distribution, or sublicensing is prohibited and may result in legal action under U.S. copyright law.

7. Final Provisions

7.1

The Customer may not assign rights or obligations under this Agreement without prior written consent from the Seller.

7.2

Customer data is processed solely for order fulfillment and support in accordance with applicable U.S. data protection laws, including FTC guidelines and the California Consumer Privacy Act (CCPA), where applicable.

7.3 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law principles.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

7.4 Jurisdiction and Venue

Exclusive jurisdiction for all disputes arising from this Agreement shall lie with the state and federal courts located in the State of New Jersey, USA.

The Seller reserves the right to initiate legal proceedings in the Customer’s place of residence if necessary to enforce its rights
